Scotiabank will merge Thanachart Bank with Siam City Bank to create the country"s fifth-largest lender in terms of assets and branches, competing with Bank of Ayudhya BAY.BK, which is one-third owned by General Electric"s (GE.N) finance unit.

The takeover would help Canada"s third-largest lender expand its foothold in Thailand"s retail banking business.

"Thailand is exactly the type of market we like to invest in. It"s also a strong growth platform to continue to develop our international platform for further expansion," Rob Pitfield, Scotiabank"s head of international banking, said on a conference call with analysts.

Pitfield said Siam City"s operations are highly complementary to Thanachart"s, with limited business and branch overlap. The merged bank"s portfolio will be almost evenly split between retail and commercial business.

The combined bank will have more than 660 branches and 18,000 employees.

"We chose the best price first, followed by best conditions," said Tongurai Limpiti, assistant governor in charge of the central bank"s rescue arm, which owns the SCIB stake.

Thanachart, which is also 51 percent owned by Thanachart Capital TCAP.BK, had bid against HSBC Holdings (HSBA.L) after state-owned Korea Development Bank pulled out of the competition last month.

The race for the stake in the Thai lender -- the biggest that the central bank has up for sale -- highlighted the allure of Southeast Asia as the global banking industry seeks new sources of funding and Thailand"s economy rebounds.

BILLION DOLLAR DEAL

Thanachart, which will raise funds via shares and bond issues to finance the purchase, will pay the central bank 32.50 baht per share, valuing the deal at around 32.7 billion baht ($1 billion).

The price was 1.6 times Siam City Bank"s book value of 20 baht a share at the end of December.

That was similar to the 1.5-1.6 times book value that ING (ING.AS) paid for 30 percent of Thailand"s sixth-largest lender, TMB Bank TMB.BK, in November 2007, but below the 2.3 times that Malaysia"s CIMB paid for a stake in CIMB Thai Bank CIMBT.BK in June 2008.

Scotiabank would still own 49 percent in the newly merged bank, to be known as Thanachart Bank.

"As part of the financing for this transaction, Scotiabank and Thanachart Capital would subscribe on a pro rata basis to additional shares in Thanachart Bank with Scotiabank contributing about C$650 million ($634 million) in capital to the bank," it said in a statement.

The tender offer will start in April and the merger process, which could result in the delisting of Siam City Bank, is expected to be completed by the end of 2011.

Shares of Siam City Bank and Thanachart Capital were suspended on Thursday afternoon at their request pending the announcement.

Before the suspension, Siam City Bank shares were up 1.6 percent at a six-week high of 31 baht and Thanachart Capital had risen 2.4 percent to 21.20 baht.

The SCIB stake was offered by the Financial Institutions Development Fund (FIDF), the central bank"s rescue arm, set up after several financial firms collapsed in the 1997-98 Asian financial crisis.

LONDON (Reuters) - Swiss-based commodity trader Glencore GLEN.UL bought back its prized Prodeco coal operations in Colombia from mining group Xstrata (XTA.L) and is seeking a possible partner to help finance the purchase.

The sale of a stake in Prodeco or other disposals would raise at least $1 billion within six months, Glencore told its bond investors in a statement obtained by Reuters.

The purchase price -- based on a formula in an option -- still has to be finalized as it is partly based on capital Xstrata spent on the mines and Prodeco"s earnings, but analysts estimate it will be around $2.5 billion to $2.7 billion.

It was an easy decision for Glencore to exercise its option to buy since the privately-held firm values the mines at around $4 billion to $5 billion, a source close to the deal told Reuters on Friday.

Coal prices have gained 20 to 30 percent, Prodeco"s reserves have grown by 40 percent and the production outlook is stronger since Glencore gave up the mines a year ago, the source added.

Glencore was still in discussions, begun earlier in the year, with four possible partners in the operations -- Brazil"s Vale (VALE5.SA) (VALE.N), U.S. coal miner Alpha Natural Resources (ANR.N), Singapore"s sovereign wealth fund GIC and U.S. private equity fund First Reserve Corp, said the source, who declined to be named.

"Glencore is buying the asset 100 percent now and then it will still have discussions," the source said. "But who knows, maybe in the end it will just keep it 100 percent. That is a scenario as well," the person said.

POSSIBLE GLENCORE IPO

GIC and energy-focused First Reserve already have a relationship with Glencore, having invested in some of the $2.2 billion convertible bonds Glencore issued in December.

The bond issue is a step toward a possible public listing that could value Glencore at more than $35 billion.

"With an IPO (initial public offering) in mind, Prodeco attracts a higher valuation sitting within Glencore and therefore it has acted sensibly to exercise this option now and has not sold Prodeco immediately to an unrelated third party," said analyst Michael Rawlinson at Liberum Capital.

Glencore was in the process of securing a six-month, $1 billion bridge loan facility to boost its liquidity ahead of the asset disposals, Glencore"s note to investors added.

Standard Poors Ratings Services said Glencore"s investment grade credit ratings would not be affected by the Prodeco deal.

Xstrata said it would use the cash for its growth program, due to result in a 50 percent jump in volumes by 2014.

The statement reassured some investors who were worried the firm would splash out on a takeover, such as buying up the remaining 75 percent of No. 3 platinum firm Lonmin (LMI.L) that it does not already own, Rawlinson said.

Strong demand for imported coal from China is expected to provide a solid floor for prices after Asia"s benchmark thermal coal prices at Australia"s Newcastle port have risen nearly 30 percent since late August.

Glencore agreed to sell Prodeco for $2 billion last year to pay for its share of a $5.9 billion rights issue by Xstrata since it did not have enough cash.

Glencore, Xstrata"s biggest shareholder with a 35 percent stake, got an option to buy Prodeco back within a year for $2.25 billion plus earnings from the business and capital Xstrata spent on the mine.

Ricardo Alvarez, manager at Chile"s fourth largest mine, El Teniente, which accounts for more than 7 percent of national output, told Reuters the recovery pace of output would depend on the supply of electricity, which was partial.

"As they (the regional grid) allow us to use more power we will resume other operations," he said, adding that those operations included the concentrator and Caletones smelter.

Alvarez said the mine could slow the extraction of minerals if power supply lags.

Copper prices surged in early trading on Monday due to supply worries caused by the earthquake in Chile, jumping 5.6 percent on the London Metal Exchange.

The quake killed more than 700 people and had forced Codelco to shut the El Teniente complex as well as its Andina copper mine.

Production resumed at the Anglo-American Los Bronces copper mine, union leader Eduardo Rocco told Reuters. He said he did not know whether the company"s El Soldado mine had resumed operations.

An Anglo American spokesman said on Saturday there were no initial reports of major damage at the two mines, which together produce some 280,000 metric tons a year.

Alvarez said earlier facilities were undamaged in the 8.8 magnitude quake on Saturday and that roads to the exporting port of San Antonio were in good condition.

The century-old, 400,000 metric ton per year El Teniente is the world"s biggest underground copper mine.

Another Codelco official said the nearby 210,000 metric ton Andina mine was likely to resume operations by day"s end.

The biggest mines in Chile, which produces a third of the world"s copper, are about 1,000 km (600 miles) to the north and were spared any damage, but analysts feared that supply disruptions from the mid-sized deposits nearer the capital, Santiago, would be enough to stoke prices.

"While it appears that a modest proportion of production has been halted, the major impact may come from the disruption on deliveries from the mines and from the disruption of power supplies to the mines," said Citi analyst David Thurtell.

A Codelco spokeswoman downplayed the impact on infrastructure, saying most of the road destruction was south of both mines and that she drove from a beach near the San Antonio port to near El Teniente.

Both of Chile"s main oil refineries were shut after sustaining damage in the quake, state oil company ENAP said, adding that it would import diesel to meet demand. Prolonged power outages could significantly increase demand for liquid fuel to help keep the mines operating.

The central copper-exporting port of San Antonio was shut down, but the major northern ports of Antofagasta and Mejillones were unaffected.

Freeport McMoRan Copper Gold Inc said the quake did not damage its two mines, but it is facing a power outage at its Candelaria mine, which will result in a temporary shutdown.
